These Terms of Service ("Terms") govern your use of products and services provided by Solusign Consulting LLC ("Solusign," "we," "our," or "us"), including:

• The Solusign Google Workspace Add-On ("Solusign Add-On")
• Consulting, development, integration, and implementation services ("Consulting Services")
• The website located at https://www.solusign.com ("Site")

By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use our services.

2. Solusign Add-On (SaaS) Terms

2.1 Description

The Solusign Add-On is a Google Workspace extension that integrates Google Sheets with DocuSign. It enables users to:

• Map sheet data to DocuSign templates
• Send envelopes in bulk
• Track envelope status
• Store signed PDFs in Google Drive
• Write signer-entered data back into Sheets

2.2 Eligibility

You must be at least 18 years old and capable of entering into binding contracts to use the Add-On.

2.3 Use Restrictions

You agree not to:

• Use the Add-On in violation of applicable laws or regulations
• Transmit unlawful, defamatory, or harmful content
• Interfere with or disrupt the Add-On or servers
• Reverse-engineer, decompile, or attempt to extract the source code of the Add-On

2.4 Disclaimers

• The Add-On is provided as-is and without warranty.
• We do not warrant that the Add-On will be error-free, timely, or secure.
• We are not responsible for recipient errors, misconfigurations, or issues within third-party platforms like DocuSign or Google.

2.5 Limitation of Liability

To the maximum extent permitted by law, Solusign shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or goodwill. Our aggregate liability for claims related to the Add-On shall not exceed the amount paid by you (if any) in the 12 months prior to the event giving rise to the claim.

2.6 Data & Privacy

We do not store or retain your data beyond executing user-initiated actions. You remain solely responsible for data integrity and regulatory compliance when using the Add-On.

2.7 Termination

We may suspend or terminate your access to the Add-On at any time, with or without cause. Upon termination, your right to use the Add-On will cease immediately.

2.8 Acknowledgment of Acceptance

By checking the agreement box in the Add-On, you confirm that you have read and accepted these Terms and agree to comply with them.

3. Consulting Services

3.1 Scope

Our Consulting Services include:

• Process analysis and workflow design
• DocuSign integration and template creation
• CRM and third-party system integration
• Custom development and automation

3.2 Agreements

Custom engagements are governed by separate written agreements including:

• SaaS Agreement
• Custom Development Agreement
• Service Level Agreement (SLA)

These agreements govern deliverables, timelines, ownership, payment, and support. In case of conflict, those agreements take precedence over these Terms.

3.3 Payment & Refunds

Unless otherwise agreed, Consulting Services are prepaid and non-refundable. We reserve the right to suspend service for late or non-payment.

3.4 Client Responsibilities

Clients are responsible for:

• Providing accurate and timely information
• Testing and validating deliverables
• Ensuring legal and regulatory compliance

3.5 Ownership

All custom deliverables remain the intellectual property of Solusign unless otherwise agreed. You are granted a non-exclusive, non-transferable license to use them for internal business purposes.

3.6 Confidentiality

Both parties agree to maintain the confidentiality of non-public business, technical, or financial information disclosed in connection with the services.

4. Intellectual Property

All content, software, and materials provided by Solusign, including the Add-On and documentation, are protected by intellectual property laws. You may not reproduce, modify, or distribute any part of our services without written permission.

5. Indemnification

You agree to indemnify and hold harmless Solusign, its officers, affiliates, and agents from any claims, liabilities, damages, losses, and expenses (including attorney’s fees) arising out of:

• Your use or misuse of the services
• Your violation of these Terms
• Your violation of any third-party rights

6. Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, USA. Any disputes shall be resolved in the courts located in Sheridan, WY. Both parties waive any objection to venue or jurisdiction.

8. Miscellaneous

• Entire Agreement: These Terms and any referenced agreements constitute the entire agreement between you and Solusign.
• Severability: If any provision is held unenforceable, the remaining provisions shall remain in effect.
• No Waiver: Our failure to enforce any provision shall not constitute a waiver of future enforcement.
• Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
• Amendments: We may revise these Terms at any time by posting an updated version on our website. Continued use of our services constitutes acceptance of those changes.
